1. Agreement to Terms

Welcome to CBX Life Compass (“we”, “us”, “our”), a service operated by CEOITBOX. These Terms of Service (“Terms”) govern your access to and use of the CBX Life Compass application and website (the “Service”). By creating an account, signing in, or using the Service in any way, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 13 years of age (or the minimum age of digital consent in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement, that you have the legal capacity to enter into a binding agreement, and that your use complies with all applicable laws.

3. Your Account

You are responsible for:

• Maintaining the confidentiality of your account and session.
• All activity that occurs under your account.
• Providing accurate information and keeping it up to date.
• All content you create and any third-party integrations you choose to connect.

4. The Service

CBX Life Compass is a personal growth platform that provides journaling, goal and habit tracking, planning, reflections, AI-generated insights, and optional integrations such as Google Calendar. We may add, modify, suspend, or discontinue features at any time without notice. The Service is provided to help you reflect, plan, and grow.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any law.
• Upload or store content that is unlawful, harmful, infringing, or that you do not have the right to store.
• Attempt to access another user’s data or any non-public part of the Service.
• Interfere with the security or operation of the Service, or reverse engineer it.
• Misuse any third-party integration, including Google Calendar, in violation of the provider’s terms or applicable policies.
• Use the Service to store sensitive data such as passwords, financial credentials, or medical records.

6. User Content

You retain ownership of all journal entries, goals, reflections, and other content you create in the Service (“User Content”). You grant us a limited, worldwide, non-exclusive license to host, store, and process your User Content solely as necessary to provide the Service to you. We do not claim ownership of your User Content and will not share your private reflections with third parties except as described in our Privacy Policy or as required by law.

7. Third-Party Services & Google API Services

The Service offers optional integrations with third-party services, including Google Calendar through Google APIs. When you choose to connect a third-party service, you do so at your own discretion and authorize us to access your data from that service as described in our Privacy Policy.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data, including data accessed through Google APIs. The Privacy Policy is incorporated into these Terms by reference.

9. AI-Generated Insights

The Service may generate insights, summaries, and suggestions using artificial intelligence based on your data. These outputs are informational only and may be incomplete or inaccurate. They are not professional, medical, financial, or legal advice. You are solely responsible for any decisions or actions you take based on AI-generated content.

10. Intellectual Property

The Service, including its software, design, branding, and features, is owned by us and our licensors and is protected by intellectual property laws. These Terms grant you a limited, revocable, non-exclusive license to use the Service for your personal use in accordance with these Terms. You may not copy, modify, distribute, or create derivative works of the Service without our permission.

11. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that your data will never be lost.

12. Limitation of Liability

To the maximum extent permitted by law, in no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim arising from the Service shall not exceed the amount, if any, you paid us to use the Service in the twelve months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless CEOITBOX and its affiliates from any claims, damages, or expenses arising out of your User Content, your use of the Service, or your violation of these Terms or any third-party rights.

14. Termination

You may stop using the Service and request deletion of your account at any time. We may suspend or terminate your access to the Service at any time, with or without cause, including if you violate these Terms. Upon termination, your right to use the Service ceases, and we may delete your data in accordance with our Privacy Policy.

15. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. You and we submit to the exclusive jurisdiction of the courts located in New Delhi, India, for any disputes arising out of or relating to these Terms or the Service.
